ISDA Publishes Papers on Legal Issues for Smart Contracts and Distributed Ledger Technology10/21/2020The International Swaps and Derivatives Association, in conjunction with certain law firms, has published a series of papers analyzing key legal issues for smart contracts and distributed ledger technology across four jurisdictions: France, Ireland, Japan and New York. These are in addition to the papers covering England and Wales and Singapore, which ISDA published in January 2020.
The papers consider:
- Whether the use of DLT or DLT platform providers in conventional trading relationships might impact contractual disputes; and
- The appropriate "legal situs" of digital assets for effecting payments or exchanging collateral.
Counterparties are advised to agree on a uniform choice of law to govern their transactions on a DLT platform to avoid any uncertainty over jurisdiction.
